1. STANDARD TERMS AND CONDITIONS AND GENERAL TRADING INFORMATION
These terms and conditions apply to all orders and supersede all others. Receipt of acknowledgement of order by you constitutes your acceptance that our conditions are the only conditions that apply to the contract notwithstanding any purported terms put forward by you.
2. PRINTING WORLD DIGITAL
Printing World Digital is a trading name of PW DESIGN LTD (“we/us/our’). We are registered in England and Wales under the company number 11144148 whose trading address is The Mille 1000, Great West Road, London, TW8 9DW.
3. PRINT PAYMENT & DEPOSIT TERMS
Payment in full with order is required on all online and phone orders. Any print or product orders over £100 require a 50% deposit before any work commences. Any print or product orders over £1000 require a deposit of 80% before any work commences. Upon the management discretion, full upfront payment can be requested depending on the product or client involved. Any of payment & deposit requirements will be mentioned with every order before any work commences.
4. DESIGN PAYMENT & DEPOSIT TERMS
All design work (artwork/branding) must be paid beforehand without exception. Any of payment & deposit requirements will be mentioned with every order before any work commences.
5. WEBSITE PAYMENT & DEPOSIT TERMS
Websites require 50% deposit at the beginning of the project 25% on the testing phase and the remaining balance upon upload to clients domain or live stage of development. Any of payment & deposit requirements will be mentioned with every order before any work commences.
6. PROOFS
We will not send any job to press without showing you proof and having you sign off the artwork. Consent to print must be given in writing on all artwork. By instructing us to print you accept the artwork as is. It is important that you examine the proof carefully as Printing World Digital cannot be held responsible for any errors or omissions once a proof has been approved, please make sure you double-check the spelling, grammar and punctuation, address details, phone numbers, email addresses, pagination (for brochures) etc. Note the proof is also just a reference for colour as viewing in RGB (on-screen colour) will always be more vibrant than litho CMYK colour. Please also note that the colour of the printed item will be affected by the type of material chosen for the artwork to be printed on, as well as any applied Lamination or Varnish.
7. COPYRIGHT
Unless negotiated and agreed in writing, the copyright of general artwork, commissioned artwork and illustration or anything else whatsoever prepared, developed or created by us shall vest in and belong to us. We may use any artwork/printing created by us for the purpose of promoting ourselves. Out of courtesy, we may contact our customer to use artwork and print for our promotional purposes. You hereby understand that any copyrighted material created by us cannot be reproduced until paid for. Only until all work is paid for shall the rights of copyright transfer to the customer. The customer shall be responsible for obtaining all necessary authority and consents to reproduce pictures, artwork, photographs, copyright text, fonts and/or any reproducible materials prior to instructing us to reproduce the same. The customer shall not hold us and our agents and representatives harmless against all claims, demands, actions, cost, expenses (including but not limited to legal costs and disbursements), losses and damages arising from or suffered or incurred due to any claim (including but not limited to the defence of such claim) that the reproduction of material by us infringes the intellectual property or other rights of any third party or misuses the confidential information of the third party.
8. CLIENT CONFIDENTIALITY
Any information disclosed to us shall remain strictly between PW DESIGN LTD and you/business and will not be shared to a competitor or anyone else. The exception would be if the said information has is already available to the public or said information is required for the specific purpose carrying out a job with one of our suppliers or partners. Printing World Digital agrees that unless the customer becomes in default of any obligation to make any payment to Printing World Digital it shall uphold client confidentiality.
9. PASSING OF TITLE AND RISK
The risk in the goods shall pass to you on delivery. All goods, delivered or not, remain our property until payment is received in full. Until payment in full is made you shall retain such goods separately from other goods and clearly mark them in such a way that they can be readily identified as being our property and any payment received by you for any sale of such goods must be held in a separate account in trust for us. In the event of non-payment by you for such goods we will, without loss of any rights or remedy, remove from your possession those goods belonging to us in accordance with these conditions and we shall be entitled to enter upon the property where the goods are stored and repossess and remove the same. You hereby grant us an irrevocable license to enter your premises for the said purposes.
10. DELIVERY
Time to completion (TTC) is measured in working days, defined as days on which banks in the city of London are open for normal business. Every effort will be made to deliver on time, but any delivery day specified is a best estimate and no liability is accepted for any loss arising from delay or error in the delivery of the goods. All deliveries will be charged at the prevailing rates applying at the date of such delivery. Special rush deliveries can usually be arranged but will usually be subject to additional charges (e.g. rush print charges and rush delivery charges) which will be charged to you at current commercial rates. It is the client’s responsibility to inform us of any deadline the goods are required for, so we have time to put in precautions or suggest suitable alternatives to meet said deadline.
11. PRODUCT QUANITITY VARIATION
We shall be deemed to have fulfilled our contract by delivery of a quantity within 5% plus or minus of the quantity of printed goods ordered and you will be charged at the contract rate for the quantity delivered.
12. CLAIMS
Claims arising from damages, delay or partial loss in transit must be made in writing to us, so as to reach us within 5 days of delivery. All claims with regard to the quality or quantity of the goods shall be made in writing to us so as to reach us within 5 days of receipt of goods or such goods shall be deemed to comply as to quality and quantity within the terms of the contract. You must examine all goods delivered at the time of delivery. We shall not be liable for any loss arising from damage caused to the goods in transit unless loss or damage is noted on the delivery note at the time of delivery. Claims in respect of non-delivery must be made in writing so as to reach us within 4 days from receipt of our invoice.
13. LIABILITY
Save in so far as defects in the goods cause death injury or damage to personal property, our liability for any loss or damage suffered by you in respect of the goods shall be limited to the contract value of the goods. We can accept no responsibility for loss or damage arising from the supply of goods under this contract unless you have fully complied with the notification of claims procedure set out in clause 10. Nothing in these terms and conditions shall affect the statutory right of a consumer.
14. CANCELLATION CHARGES
A charge will be made on all cancelled orders, together with the charge for all work carried out up to the date of written cancellation. A order is not initiated until required deposit/payment is made until then no order is deemed to be made unless work has been made in relation to such order.
13. ARTWORK AND PRINTING
The entire copyright throughout the world in all printing plates, litho positives and negatives, artwork, designs, photographic transparencies, negatives or positives and any other artistic craftsmanship made by or for Printing World Digital pursuant to or in implementation of any contract with the customer shall belong to Printing World Digital. Printing World Digital agrees that unless the customer becomes in default of any obligation to make any payment to Printing World Digital, it will not reproduce any such items for any competitor in the business of the customer.
13. FORCE MAJEURE
We will not be held responsible for failure or delay in the carrying out of our obligations under the contract arising out of any cause outside our reasonable control or by inability to procure materials or articles except at higher prices due to any such cause and in such circumstances, we shall be entitled by notice to terminate the contract in whole or in part without incurring any liability whatsoever to you.
